Graphite One Inc. has entered into an agreement with a syndicate led by BMO Capital Markets to raise up to C$18 million through a marketed, best-efforts private placement. The offering will consist of units priced at C$0.90 each, with each unit comprising one common share and one-half of a common share purchase warrant.
Each full warrant will entitle the holder to acquire one common share at C$1.25 per share for 12 months following the closing date. The syndicate has an option, exercisable up to 48 hours before closing, to purchase or arrange for the purchase of up to an additional 15 percent of the units on the same terms.
Net proceeds from the financing are earmarked for environmental studies and permitting activities on the Graphite Creek property, a milestone payment to Chenyu, and general working capital. The units are being offered to investors in all Canadian provinces under the “listed issuer financing exemption” of National Instrument 45-106, allowing for immediate resale without a hold period.
The offering is expected to close on or about August 8, 2025, subject to regulatory approvals, including consent from the TSX Venture Exchange. An offering document detailing the full terms is available under the company’s profile on SEDAR+ and at the company website.
Graphite One is advancing the Graphite One Project in Alaska as a vertically integrated operation to mine and process natural graphite and manufacture artificial and natural graphite anode active materials. The company’s goal is to become a domestic supplier of high-grade anode materials for lithium-ion electric vehicle batteries and energy storage markets.
