LG Energy Solution, a South Korean battery manufacturer, is set to sell its entire 7.5% stake in Australian lithium miner Liontown Resources through a block trade valued at a minimum of A$419 million (approximately US$297.99 million), according to a term sheet reviewed by Reuters. The company plans to offer 239.5 million Liontown shares at an indicative price range of A$1.75 to A$1.79 each. The floor price of A$1.75 per share is underwritten, and investors have been directed to place bids in A$0.01 increments.
The proposed sale, which would eliminate LG Energy Solution’s remaining interest in Liontown, is due to have its final pricing confirmed later on Wednesday. Neither LG Energy Solution nor Liontown Resources immediately responded to requests for comment. Citigroup is acting as the sole bookrunner for the transaction.
Liontown’s stock rallied 9.37% on Wednesday to close at A$1.98, indicating that the sale price would represent a discount of roughly 9.8% to 11.8% relative to the market close. The shares have risen about 26% year to date in 2026 as lithium demand continues to climb amid growing electric vehicle and energy storage markets. Before the proposed sale, LG Energy Solution was Liontown’s third-largest shareholder, following Hancock Prospecting, controlled by mining billionaire Gina Rinehart, and Liontown chairman Tim Goyder.
This divestment comes at a time when battery makers and automakers are actively securing upstream resources to support ambitious electric vehicle production targets. By winding down its position in Liontown, LG Energy Solution may be redirecting capital toward other elements of its battery materials and technology strategy.
