ProLogium Holding Inc., a developer and manufacturer of solid-state lithium ceramic batteries, has signed a definitive agreement to merge with Translational Development Acquisition Corp. (TDAC). The business combination will result in ProLogium becoming a publicly traded company on the Nasdaq, with a pre-money valuation of approximately $3.8 billion. Once the transaction closes, expected in the second half of 2026 pending customary approvals, the combined entity will be named ProLogium Technology.
Since 2013, ProLogium has operated a commercial-scale production line for solid-state batteries and has shipped over 2.4 million cells to customers. More than 800,000 of those cells are third-generation batteries produced at its gigafactory in Taiwan. The company holds a portfolio of over 1,100 global patents and has introduced a fourth-generation “superfluidized inorganic” solid-state battery solution. This latest platform offers high energy density, fast-charge capability, strong low-temperature performance, competitive cost structure and—critically—a triple safety mechanism that eliminates the risk of thermal runaway.
Proceeds from the merger, combined with TDAC’s cash in trust and anticipated PIPE financing, will support the scaling of fourth-generation battery production and construction of a new gigafactory in Dunkirk, France. The French government has approved a subsidy package of up to €1.4 billion for the project. Beyond electric vehicles, ProLogium plans to expand into additional growth markets such as AI data centers, aerospace, robotics and defense.
Independent testing by TÜV Rheinland and UL Solutions has validated the performance and safety of ProLogium’s batteries, including a record energy density of 360 Wh/kg—more than 50 percent above conventional batteries—and zero thermal runaway under the Heat-Wait-Seek test protocol. The transaction has been approved by the boards of both companies and remains subject to shareholder and regulatory approvals, as well as other customary closing conditions.
