Sakuu Corporation and Pyrophyte Acquisition Corp. II have entered into a definitive business combination agreement that implies a pre-money equity value of $600 million for Sakuu. The transaction was announced on December 31, 2025. Pyrophyte is a special purpose acquisition company focused primarily on businesses serving the energy-transition ecosystem.

Proceeds from the transaction are expected to support continued development and commercialization of Sakuu’s Kavian platform, including preparations for anticipated commercial availability in the second quarter of 2027 and fulfillment of purchase orders. After the transaction closes, Pyrophyte is expected to be renamed Sakuu Corporation.

Founded in 2016, Sakuu develops commercial-scale printing equipment for batteries, electrodes and supercapacitors. The company describes Kavian as a multi-material, multi-process additive manufacturing platform that produces electrodes using a fully dry process. Sakuu said its approach can reduce capital and operating expenses, as well as factory and carbon footprints, waste and the use of toxins, compared with conventional wet-process manufacturing.

The company also said its polymeric current collector technology and dry-printing process can produce electrode designs intended to mitigate thermal-runaway risk associated with conventionally manufactured lithium-ion batteries. Sakuu is also targeting batteries and supercapacitors for AI data centers, with systems designed for rack integration close to servers.

The boards of both companies unanimously approved the agreement. Completion remains subject to approval by Sakuu and Pyrophyte shareholders and other customary closing conditions. Sakuu founder and CEO Robert Bagheri and President and COO Arwed Niestroj are expected to continue leading the company, while Pyrophyte’s management team is expected to provide industry and capital-markets relationships.

Pyrophyte intends to file a registration statement with the U.S. Securities and Exchange Commission containing a proxy statement and prospectus for the proposed transaction.
